Venture Capital, created on SubDAO, can have its investment decisions, fundraising, asset management, and fund liquidation all done on the chain. Through integrated third-party protocols, users can directly swap DAO funds for Swap transactions and NFT asset purchases and also perform actions such as lending.

## Three stages of the Ventures DAO

After the initiator submits and creates the DAO, the DAO goes through the following stages in sequence.

#### Stage 1 <mark style="color:green;background-color:green;">**In deposit**</mark> &#x20;

Users can deposit funds to obtain DAO equity tokens

<mark style="color:red;">⚠</mark> If the DAO reaches the fundraising target, the DAO will enter the next stage; if it fails, the DAO will only enter the return period <mark style="color:yellow;background-color:yellow;">**In return**</mark>  .

#### Stage 2 <mark style="color:blue;background-color:blue;">**In management**</mark> &#x20;

DAO managers start to manage DAO funds and can use functions in Apps & Settings (swap tokens, buy and sell NFTs, deposit DAO funds into DeFi protocols, etc.)

## Three Important Rules

**Equity Tokens are Negotiable and the Only Proof of Redemption**

After successfully fundraising for the DAO, equity tokens can be circulated and transferred. The Equity token is the only proof of redemption because the redeemed tokens will be burned, and the total supply of equity tokens will be reduced accordingly.

**Redemption Fault Tolerance Mechanism**

Suppose some investments have not been paid off, and not all tokens have been swapped into stable coins before the redemption period, then the current NAV will be lower than the actual value, making the redemption value of those who redeem later higher than the former.

**Final Decision Made by DAO managers**

Ventures DAO differs from Community DAO in the sense that Ventures DAO enjoins managers with the responsibility of making leadership decisions; abiding by external commitments at the time of issuance will depend on the managers’ willingness. In the Beta 1.0 version, in order to protect the integrity of DAO fund management over a long period of time, Equity token holders are not supported to perform an exit operation similar to "rage quitting" during the management period.


# Before your start

Make sure your are in the right network

#### &#x20;Network Selection&#x20;

For this guide's purpose, follow demo will be performed on ***Polygon Network***. When the system determines that the user's MetaMask wallet network is inconsistent with SubDAO, the following prompt box will pop up. Click **\[Switch Network]**, MetaMask operation signature can be switched.&#x20;

#### Connect to Wallet

After switching to the same network, click \[Connect Wallet] in the upper right corner of the system to select and connect the wallet. It is recommended to use MetaMask; after confirming the signature, the connection will be successful.

If you have used the Web3 application before, connecting to the wallet is easy; just select the wallet of your choice.

When the wallet is not connected, SubDAO shows the DAOs on Ethereum by default, users can only view the list and details of DAOs, and the functions of creating DAOs, subscribing, and voting are limited. After connecting to the wallet, you can experience the full functions of SubDAO.

**Set the name of the equity token, fundraising period, etc.**&#x20;

Enter the required form below. The DAO can either be issued as an ERC20 or NFT token. DAO can be publicly funded or whitelisted, allowing only some people to fundraise.&#x20;

**ERC Token**

Set up basic information about your fundraising, price could be set as a fixed price or as a bonding curve.&#x20;

Circulation of the DAO could be either negotiable or non-negotiable.  DAO tokens can either be released in a **One-time release**, **Linear release,** or **Staged** **release.**

One-time Release: One-time unlock on the date set up&#x20;

Linear Release: Set up a release start date and choose the vesting period, there are three types available, 30 days, 180 days, and 360 days.&#x20;

Staged Release: Set up the exact vesting date and release ratio&#x20;

Choose a deposit date, remember deposit date MUST be before the release date.

# Join a DAO

**How do I join a DAO?**&#x20;

If a user participates in the fund subscription of a DAO, he/she will become a Holder of the DAO. He/she can also negotiate with the creator of the DAO to participate in the management of the DAO as a manager of the DAO. You can access the home page of a DAO through the link sent to you by the DAO user or by directly searching for DAO on the website.

#### Search

You can search for DAO through the Banner and Explore pages on the website's homepage. Currently only supports searching by DAO name.

#### Subscribe

DAOs in the subscription period can deposit in exchange for Equity Token. The end of the countdown means the end of the subscription period.

# About Token

#### Transfer of Equity Tokens&#x20;

Holders can send Equity Tokens they hold to other addresses. The address that received the Equity Token also immediately became a Holder.

# DAO Asset Management

#### DAO Assets&#x20;

DAO's assets include Tokens, NFTs, and Off-chain investments. Token sources include subscription acquisition, receiving acquisition, Swap exchange, and DeFi lending;&#x20;

The source of NFT includes purchasing and receiving through the platform; Off-chain investment originates from DAO's off-chain investment.

#### Add Token

To Access: Portfolio - Token - Amount - Import Token, add Token into DAO by searching.

Transfers can only be made when NFTs are added to the vault.&#x20;

# DAO Governance

#### Vote&#x20;

The governance of DAO is joint decision-making through Managers voting, and each Manager can initiate and participate in the voting.&#x20;

#### Initiate a Vote&#x20;

Any Manager can initiate a proposal vote.&#x20;

To Access: Vote - Create a proposal;

When creating a vote, you can select the desired vote type, including Add manager, Remove manager, Transfer, Super Manager, Management fee pool, Start redemption period

#### Participate in voting&#x20;

After initiating a proposal, other Managers can participate in the proposal and vote by clicking **\[Agree] \[Disagree**] on the voting list and voting details page.

Expiry is the end time of voting. After the voting time is over, no more voting can be done, and the \[Agree] and \[Disagree] buttons will disappear;

#### Vote History&#x20;

When the voting time is over, the voting is not completed, and the proposal automatically fails to enter the **History List.**&#x20;

#### Manager&#x20;

Member management refers to the addition, removal, and editing of Managers within a DAO. Adding and removing members from a successfully created DAO requires a collective decision by voting.&#x20;

#### Limit Management (Super Manager)&#x20;

Voting allows you to manage asset types and amounts for Super Manager using Uniswap and AAVE.&#x20;

Uniswap: Authorize the use of Token types and quotas for the exchange of other assets; the Spending limit cannot be higher than the asset balance;

AAVE： Authorize the use of Token type and quota for Supply, Borrow, Repay, and Withdraw; the Spending limit can be higher than the asset balance, and AAVE authorizes an asset first to add the Token to the vault.

# AAVE Lending

SubDAO provides lending services by accessing AAVE. The Manager can borrow a certain amount of tokens by pledging the assets in the vault.&#x20;

Two Ways to Access:&#x20;

1st: Apps\&Settings - AAVE Lending

The following is an example of DeFi's  Lending process: "Supply USDC in the vault, borrow CRV, repay CRV, get USDC back."

All operations related to Tokens in DeFi (Supply, Borrow, Repay, Withdraw) require other Managers to authorize the Token before they can operate.&#x20;

For example, when pledging USDC in the vault to borrow CRV, you need to authorize it twice.

1. &#x20;First authorization: authorize your address to become a Super manager so that the address has the right to use a certain amount of USDC to supply USDC in AAVE.
2. Second authorization: Use the \[Add Token] function in Portfolio to add CRV to the vault so that the vault supports CRV assets. Then, authorize your address to become a Super manager again so that it can use a certain amount of CRV in AAVE, and then this address can perform Borrow CRV.

**Supply**&#x20;

Authorize the use of a certain amount of USDC for collateral;&#x20;

Click **\[Apply now]** to apply for the amount;

Authorize the asset : Select the asset type and fill in the usage limit. After the application is voted through, the \[Borrow] of the asset can be performed;&#x20;

If the asset cannot be selected, the DAO vault has not yet supported the asset. You need to go to Portfolio and use "Add Token" to add the asset before you can select the assets in the Super Manager settings. When applying for the use of the asset, do not fill in 0 as the amount.

# Swap

SubDAO provides asset exchange services through access to UniSwap/Pancake/QuickSwap. The function is available to Supper Managers who are authorized to Swap. \

# Wallet Connect

SubDAO supports connecting the vault multi-signature wallet with other third-party platforms for transactions through Wallet Connect. The current limitations on connectable third-party platforms are no wallet signing required and support for the same network as SubDAO.&#x20;

# Exit a DAO

**Holder**

Redemption of all Equity Tokens is considered as exiting the DAO;&#x20;

**Manager**

First remove the manager by voting, and then redeem all Equity Tokens as exiting the DAO;

**Return**&#x20;

The DAO that fails to subscribe enters the return period In return, and the Holder and Manager can retrieve the principal.


# Redemption

**Start redemption period**&#x20;

After the subscription period ends and the Funding target is reached, the Manager can vote to make the DAO enter the Redemption Period.

**Redemption period**

In the redemption period, Holder and Manager can redeem all Equity Tokens. The picture below is a screenshot of Manager's redemption entry during the settlement period. Holder does not have a \[Bonus] button;

**Dividend**

Holder: Holder can redeem the entire principal and earnings by clicking \[Withdraw]. Manger: Manager can redeem all the principal and earnings by clicking \[Withdraw]; click \[Bonus] to withdraw dividends.


# Misc

#### Modify

The creator of the DAO can edit the basic information of the DAO after the DAO is released; Click the edit icon to enter the basic information editing.

Through the menu bar \[Explore] to enter the current network under the DAO list, the default display All, through "Trending" "My DAO" and "Liked "My Tokens" shows all the equity Tokens owned by the current wallet address, including the subscribed and received ones. You can filter by Date Created, TAV.

During the settlement period, the holder can withdraw the principal amount and the corresponding proportion of the income amount through \[Withdraw], which is the proportion of the holder's equity Token. The Manager's portion of the dividend is extracted separately through \[Bonus]; the percentage of the dividend is filled in by the creator of the DAO when creating the DAO, and the percentage is jointly decided through the voting Manager.

# Our Vision

The creation of Bitcoin in 2008 marked the emergence of a financial revolution. Previously, finance and the economy were controlled by Governments and central banks; these bodies had the sole power of financial control and monetary circulation; hence, their actions determined the course of the global economy. Unfortunately, the irresponsibility of Governments has seen the world suffer recessions, and great economies have crumbled.

Satoshi Nakamoto created Bitcoin to genuinely create democracy in the world, fostering true ***“power to the people.”*** Governments and Central Banks are notorious for causing economic meltdown via the decisions of a few people in power. However, Bitcoin and Blockchain Technology provide a way for Decentralization, allowing everyone to be involved, and taking away power from the midst of a select few. It is often said that ***“He who controls your money controls your world,”*** but the birth of Blockchain has changed this; we are no longer at the mercy of centralized authorities, power is decentralized, and we all have a say.

Over the past decade, blockchain technology has grown massively, branching into many parts, redefining human development and the future of our world. Away from financial applications, blockchain technology has also changed the outlook of organizational forms, particularly since Decentralization is one of the Blockchain’s core principles.

DAO (Decentralized Autonomous Organization) has grown to become the preferred form of Governance for vital decision-making in most blockchain projects, and rightly so. If the technology behind confirming transactions is decentralized, it is only fitting that critical decision-making is also decentralized. Centralized Organizations suffer from a lack of trust because few decision-makers can act to the detriment of others via poor decisions; Decentralized Governance facilitates genuine consensus, ensuring that everybody has a say in decision making, from top to bottom.

An organization is a collection of people who gather together to achieve a joint goal. Every organization comprises four elements: people, system, motivation, and affairs.

In a Centralized Organization, **people** are arranged in a hierarchy, where some are more powerful than others; hence, opinions carry varying weights. The **system** involves leaders and followers, where the top guns run the organization, and the people at the bottom of the food chain only follow their lead. Usually, the organization’s **affairs** are handled by the leaders, while the **motivation** is fuelled by the wishes of the Organizational leaders.

The semantics are different art Decentralized organizations. In a Decentralized organization, **people** are free to join as long as they fulfill a jointly predetermined criterion; these **people** are seen as equals, and the **system** ensures that decision-making is adopted in equality, carefully weighing the input of every member of the organization. The **affairs** are handled in line with the consensus demands of the majority, and they are all equally **motivated** to fulfill a duty.

With the help of blockchain technology, a decentralized organization is free from corrupt human interference, enabling autonomy, and avoiding scenarios of empowering a select few. DAOs favor democratic Governance and promote diversity in the organization with openness and transparency for all. Members are equally incentivized and motivated to make crucial decisions from an unselfish standpoint. Excluding human interference to fully practice democracy among multitudes is not only needed for blockchain projects but also for open-source organizations, corporate bodies, and social communities. It is expected that Decentralized organizations will continue to co-exist with centralized organizations within the next decade, growing with the influence of Blockchain until it can completely replace centralized organizations and Governance.

Although we expect the future of organizations and Governance to become decentralized, DAOs are still relatively unpopular, especially for people who aren’t invested in blockchain/crypto projects. As a result, DAO solutions are fragmented and underdeveloped, lacking tools for a proper industry breakthrough. Currently, some DAO solutions, like MakerDAO and TheLAO, have launched on the Blockchain with their own governance schemes and systems. For example, TheLAO has developed a voting contract directly on Ether to vote on investment projects.

Some other DAO projects like Aragon and DAOHaus have also developed basic DAO governance toolchains, which abstract the typical functions of the DAO governance process and provide functions such as voting and fund pool management. DAOHaus particularly provides functional contracts for voting and fund management on Ether, as well as an attractive front end and other tools to help DAOs with Governance.

Despite a few solutions here and there, developing individual DAO governance tools is not financially feasible for all organizations; only those organizations with sufficient R\&D funds or initial capital reserves can afford to do so. Hence, smaller organizations or those without capital reserves are left hanging. It is also worth mentioning that most DAOs who have existing toolchains and systems for Governance can only meet the most basic needs of Governance, i.e., voting and fund management. However, they are unable to fulfill other advanced needs, such as the combination of multiple decision-making forms, automated execution of governance behaviors, daily community governance communication, and many more. Moreover, even the few systems with open interfaces to customize needs have incredibly high technical requirements, making it nearly impossible for small and medium-sized organizations to work with.

The struggles of implementing the much-needed DAOs leave the entire ecosystem begging for a solution, and that is why SubDAO was founded.

Our vision at SubDAO is for DAOs of any size to have the ability to boast of a rich and complete DAO governance toolchain with easy-to-use, friendly, peripheral tools, enabling decentralized Governance for every industry sector. We aim to integrate DAO governance into every aspect of life, to facilitate a leveled-playing ground, eliminate oppression by a few influential people, remove the shackles of class from everyone, and promote freedom, allowing everyone to express their opinions freely, making them count, and promoting TRUE DEMOCRACY!


# Multi-Chain DAO Protocol

**SubDAO is a multi-chain DAO protocol, which enables chains to quickly have DAO functionality and supports DAO to execute various decision-related transactions. SubDAO aims to provide a general and widely applicable DAO tool for the revolution in the Venture Capital field.**

DAO is the ideal governance model for the future of Web 3.0 organizations. However, creating and maintaining a DAO is not so easy, especially when working to create interoperable DAOs. Several DAOs have developed basic DAO solutions, but technology is rapidly moving forward; thus, the SubDAO team believes it is time to improve the existing toolchains to allow advanced functions while maintaining compatibility with small and medium-sized organizations.

Many DAO platforms have been launched, each with different tools and features; popular ones include MakerDAO and TheLAO. Aragon is another project that helps governors build a DAO, providing necessary tools; however, it is only available on Ethereum.

SubDAO is a necessary evolution and an upgrade on other DAO-related projects.

We are building powerful DAO templates to facilitate a holistic decentralized decision-making system. DAOs shouldn’t be limited to simple voting but should also be capable of achieving Decentralization of decision execution. For example, a voting system is limited to two choices – YES or NO, AGREE or DISAGREE. However, it is possible to have thousands of varying decisions. Hence, to improve DAOs, the system must evolve from a simple voting system to executing decentralized decisions.

Our product, Ventures DAO, is a good example to describe this.

When deciding to invest in a project, the DAO needs to issue a vote. If a consensus is reached, DAO funds will be transferred to the invested project; however, the entire investment behavior is far from over. In the future, the DAO will collect investment tokens, sell tokens, and distribute dividends to governors.

If we consider system requirements, hardly any existing DAO system can meet up with Ventures DAO in terms of tools required to facilitate advanced decision-making mechanisms and benefit distribution in terms of dividends.

Also, forking an existing DAO protocol to independently create and run a DAO is cumbersome; we often receive complaints from many organizations that they cannot find suitable DAO tools (funds, game guilds, etc.) to run their governance system. As a result, many DAOs have to choose some centralized governance methods while managing their funds with a multi-sig wallet (e.g., Gnosis) to maintain their “decentralized” status.


# Token

GOV, short for Governance, is the SubDAO protocol’s governance token. GOV has a total supply of one billion.

Token holders will have the right to vote on all aspects related to the management and administration of the SubDAO protocol, including governance action, referenda, network upgrades, council elections, parameter adjustments, integrations, changes to incentives, and all other managerial functions.&#x20;

SubDAO is a multi-chain DAO protocol that collaborates with Polkadot para-chains such as Moonbeam, Acala, and others. Upon upgrade, when SubDAO provides additional services, hence requiring a better chain, we will explore developing a para-chain designed specifically for SubDAO.

Initially, SubDAO allotted 30% of the total supply for para-chain costs; however, community consensus and advisers suggested a reduction to 10%; hence, the remaining 20% will be set aside for burning.

The 10% of supply allocated to the Ecosystem Foundation will facilitate the long-term development of the SubDAO ecosystem. In lieu of this, we will organize hackathons and reward developers that contribute to the development of DAO Templates.

SubDAO also intends to reward early community supporters with 3% of the total allocation; if there are leftovers, unused funds will be donated to the Ecosystem Foundation. Team members are allotted 10% of the total tokens to encourage them for their efforts in making SubDAO a success. Lastly, the 20% allotted for the token sale is for product development and marketing until SubDAO grows enough to be managed by an independent DAO.


# Tools

### DAOWallet

The DAOWallet is a Chrome plug-in wallet dedicated for transitioning from Web 2.0 to Web 3.0.

The wallet offers payment, social networking, and DAO management. Users can participate in DAO voting, make transfers and transactions with pals, and send cryptocurrency “red packages” via social networks like Twitter.

### PolkaSign

PolkaSign is a reliable and secure Web3.0 application that provides electronic contract signing services. To develop Blockchain and decentralized storage services, PolkaSign uses the Substrate Framework – which is based on the SubDAO network. As a result, all contract details, including the signature, signer, list of contract files, etc., are written to the Blockchain using smart contracts and cannot be maliciously tampered with.

PolkaSign may replace any Substrate-based chain to deliver services for all organizations that need electronic agreements.

**Workflow**

Alice wants to sign an agreement with Bob, so she uses PolkaSign to produce an electronic agreement, and the electronic agreement files are saved in the decentralized storage system.

Then, Alice adds Bob’s wallet address as a co-signer and uses her private key to sign the contract, after which she informs Bob of the deal.

Whenever Bob launches PolkaSign with his wallet, the agreement from Alice will be there waiting for him to sign. The entire arrangement is completed as soon as Bob approves and signs the agreement sent by Alice in PolkaSign.

**Design**

The PolkaSign homepage displays a list of agreements in various stages of completion. The default display consists of agreements on the waiting list pending signing. You can switch the list using the tabs or filter button in the left panel. Also, you can access comprehensive details of each agreement file information, status, and progress by clicking on the “detailed info” button.&#x20;

There are only three steps involved in reaching an agreement with other participants.

1. Upload the agreement files, after which the files will be signed and stored in the decentralized storage system.

2\. Add co-signers. To do this, you simply need to fill in the wallet addresses of any number of intended co-signers, after which the PolkaSign JS will cross-reference the addresses.

3\. Review the contract; if everything is fine, sign it in your wallet, and share the link with co-signers.
